These Terms of Service ("Terms") govern your access to and use of the Ai4Ranks platform, websites, APIs, plugins, and related services (collectively, the "Services") provided by Ai4Ranks ("we", "us", "our"). By creating an account or using the Services, you agree to be bound by these Terms.
1. Eligibility & Account
- You must be at least 16 years old and able to form a binding contract.
- You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
- You must provide accurate, current, and complete information during signup and keep it updated.
2. Subscriptions, Trials & Billing
- Paid subscriptions are billed in advance on a recurring basis (monthly or annual) by our merchant of record, Lemon Squeezy.
- Free trials, if offered, automatically convert to a paid subscription unless cancelled before the trial ends.
- All fees are non-refundable except as required by law or as expressly stated in writing by us.
- You authorize us (and Lemon Squeezy) to charge your selected payment method for all fees, taxes, and applicable surcharges.
- We may change pricing for renewal terms with at least 30 days' notice.
3. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Services.
- Use the Services to generate spam, deceptive content, defamatory, hateful, or unlawful material.
- Resell, sublicense, or white-label the Services without a written reseller agreement.
- Probe, scan, or bypass security or rate-limiting measures.
- Use the Services to compete with us, including training competing AI models.
- Violate any applicable laws, including export controls, anti-spam (CAN-SPAM, GDPR), or intellectual-property laws.
4. AI-Generated Content
The Services use third-party AI providers (OpenAI, Anthropic, Google) to generate text, keywords, tags, and SEO artifacts ("Generated Content"). Generated Content is provided "as is" and may contain errors, hallucinations, or biases. You are solely responsible for reviewing, editing, and verifying Generated Content before publishing. We make no warranty regarding accuracy, originality, or fitness for any particular purpose.
5. Your Content & License Grant
- You retain all ownership of content, URLs, brand assets, and inputs you submit ("Customer Content").
- You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely to operate and improve the Services.
- Output of the Services produced specifically for your account is yours to use commercially, subject to these Terms and to the underlying terms of any third-party AI provider.
6. Intellectual Property
We retain all rights to the Services, including software, plugins, dashboards, documentation, branding, and trademarks. Nothing in these Terms grants you any right to our trademarks except for nominative use to identify the Services.
7. Connected Sites & Plugins
When you install our plugins (WordPress, Shopify, Webflow, Wix, Blogger, Ghost, etc.) or connect your CMS to the Services, you authorize the Services to read SEO data and publish content on your behalf. You are responsible for the platforms you connect, their terms, and any third-party fees.
8. Service Availability & Modifications
We strive for high uptime but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. Material changes affecting paid customers will be announced with reasonable notice.
9. Termination
- You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account immediately for breach of these Terms, fraud, abuse, or non-payment.
- Upon termination, your access ceases and we may delete your data after 30 days, unless retention is required by law.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS OR SEO RESULTS. WE DO NOT GUARANTEE ANY SPECIFIC RANKING, TRAFFIC, OR REVENUE OUTCOMES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA.
12. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, losses, or expenses arising out of your Customer Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco, California, and you consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.
